Notice regarding Second Court Hearing
Insignia Financial Ltd ( ASX : IFL ) (“ Insignia Financial ”) provides the following update in relation to the proposed acquisition of Insignia Financial by Daintree BidCo Pty Ltd (ACN 686 668 619), an entity established by CC Capital Partners LLC and its affiliates, by way of a scheme of arrangement (“ Scheme ”).
A meeting of Insignia Financial shareholders to consider and vote on the Scheme (“ Scheme Meeting ”) will be held at 10:00am (Melbourne time) on Monday, 13 April 2026. Shareholders can attend the meeting online via the Lumi Online Meeting Platform (at https://meetings.lumiconnect.com/300-648-847-579) or in person at Mallesons, Level 27, 447 Collins Street, Melbourne.
Subject to Insignia Financial shareholders approving the Scheme by the Requisite Majority at the Scheme Meeting, the Federal Court of Australia at Owen Dixon Commonwealth Law Courts Building, 305 William Street, Melbourne VIC 3000 will hear an application by Insignia Financial seeking the approval of the Scheme between Insignia Financial and its shareholders, at 10:00am (Melbourne time) on 16 April 2026 (“ Second Court Hearing ”).
If you wish to oppose approval of the Scheme, you must file and serve on Insignia Financial a notice of appearance in the prescribed form, together with any affidavit on which you wish to rely at the Second Court Hearing. The notice of appearance and affidavit must be served on Insignia Financial at its address for service at least one day before the Second Court Hearing.
