("HC2"), and HC2 may be deemed to have the sole voting and dispositive power over the securities held by HC2 Holdings. Mr. Falcone is the President, Chief Executive Officer and Chairman of the Board of Directors of HC2, and the Chief Executive Officer and Chairman of the Board of Directors of the Harbinger Group, Inc., which beneficially owns 24.7% of the outstanding common stock of HC2. Mr. Falcone beneficially owns 26.4% of the outstanding common stock of HC2. By virtue of the foregoing, Mr.Falcone may be deemed to share in the voting and dispositive power over the securities held by HC2 Holdings. Mr. Falcone disclaims beneficial ownership of the securities held by HC2 Holdings except to the extent of any pecuniary interest therein.
