In furtherance to our Letter No. IWL: NOI: 139: 2021 dated 6[th] October, 2021 and in compliance of Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, we would like to inform you that pursuant to the resolutions passed by the Board of Directors of the Company on 6[th] October, 2021 and the Shareholders on 29[th] October, 2021, the ‘IWL Committee of the Board of Directors for Operations’ of the Company has made the following allotments today i.e. 2[nd] November, 2021 of 0.01% Unlisted, Non-Convertible, NonCumulative, Participating, Redeemable Preference Shares of face value of Rs.10/- each of the Company (“NCPRPS”), fully paid-up, at par, on private placement basis:

1. 2,00,00,000 NCPRPS to Devansh Trademart LLP (LLPIN: AAE-2605), an entity forming part of the Promoter Group, for cash consideration aggregating Rs. 20,00,00,000 (Rupees Twenty Crore only); and

2. 83,33,51,137 NCPRPS to Inox Wind Energy Limited (CIN: U40106GJ2020PLC113100),Promoter of the Company, for consideration other than cash in lieu of unsecured advances and intercorporate deposits including interest accrued thereon from time to time for an amount aggregating of Rs. 833,35,11,370 (Rupees Eight Hundred Thirty Three Crore Thirty Five Lakh Eleven Thousand Three Hundred and Seventy only).
