KEY TERMS OF CEO APPOINTMENT

Perth, Australia, 8 November 2016: On 3 November 2016, Australian life sciences company BARD1 Life Sciences Limited (ASX:BD1) ( BARD1 or the Company ) announced the appointment of Dr Leearne Hinch as Chief Executive Officer of the Company.

As required under Listing Rule 3.16.4, the summary of key terms of Leearne’s Employment Agreement are as follows:

Position	 Chief Executive Officer(CEO).
Total Fixed Remuneration (TFR)	 $300,000 pa (inclusive of Salary and Superannuation) during the probation period, and then $350,000 pa thereafter.
Short Term Incentive (STI)	 Eligible for STI of up to 40% of TFR at the end of each 12 month period.  Payment based on achievement of key performance indicators (KPIs) to be set and agreed between the Board and CEO duringthe ProbationaryPeriod.
Long Term Incentive (LTI)	 Eligible for LTI, subject to shareholder approval and other requirements.  Grant of 20,000,000 Options for Ordinary Shares in the Company issued in 4 tranches over 3 years with a 4-year expiry that shall vest as follows: 1. 5M issued @ 5cps upon appointment at completion of the Probationary Period 2. 5M issued @ 5cps upon achieving Milestone 1 3. 5M issued @ 6cps upon achieving Milestone 2 4. 5M issued @ 7cps upon achieving Milestone 3  Issue based on meeting agreed milestones to be set and agreed between the Board and CEO during the Probationary Period.  Vesting subject to the Executive remaining in the employ of the Company at each vestingdate.
Term	 No fixed term.  Probationperiod of 3 months.
Termination	 Without cause, subject to Notice Period by either Party.  For cause,immediate dismissal.
Notice Period	 6 months.
Commencement Date	 Monday, 7 November 2016.
