Stockholder Meeting Notice

Dril-Quip, Inc.’s Annual Meeting of Stockholders will be held on May 16, 2023 at the Company’s worldwide headquarters, 2050 West Sam Houston Parkway S., Suite 1100, Houston, Texas, at 8:30 a.m., Central Time.

Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations.

The Board of Directors recommends a vote FOR both director nominees listed, FOR Proposals 2 and 3, and ONE YEAR for Proposal 4.

1. Election of Directors. Nominees:

01 - Jeffrey J. Bird

02 - John V. Lovoi

1. Approval of the appointment of PricewaterhouseCoopers LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2023.

2. Advisory vote to approve compensation of the Company’s named executive officers.

3. Advisory vote on the frequency of future advisory votes to approve executive compensation.
