*Item 2.02 Results of Operations and Financial Condition.*

On October 14, 2005, Innovative Solutions & Support, Inc. conducted a conference call to pre release its fourth quarter and year-to-date sales and earnings for the period ended September 30, 2005. The conference call also discussed new business recently received and addressed a business outlook as well. A transcript of that conference call is attached as Exhibit 99.1 to this report and incorporated herein by reference.
