NOTICE OF POSTAL BALLOT
Member of INNOVANA THINKLABS LIMITED ("Company") are hereby informed that pursuant to Section 108 and Section 110 of the Companies Act, 2013 ("Act") read together with Rule 20 and Rule 22 of the Companies (Management and Administration) Rules, 2014 ("Rules"), the relaxations and clarifications issued by the Ministry of Corporate Affairs vide General Circular No. 14/2020 dated April 8, 2020 read with General Circular No. 17/2020 dated April 13, 2020, read with other relevant circulars issued in this regard, the latest being General Circular No. 03/2025 dated September 22, 2025 (collectively referred to as 'MCA Circulars'), issued by the Ministry of Corporate Affairs, Government of India and other applicable provisions of the Act and the Rules, MCA Circulars and Notifications issued by the Ministry of Corporate Affairs, Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("LODR Regulations"), and any other applicable provision of LODR Regulations, any circular issued by the Securities and Exchange Board of India ("SEBI"), Secretarial Standards issued by the Institute of Company Secretaries of India on General Meeting ("SS-2") and other applicable laws and regulations (including any statutory modification(s) or re-enactment(s) thereof for the time being in force), the Company has completed the dispatch of Postal Ballot Notice on May 21, 2026 via email only in compliance with MCA Circulars, to the Members of the Company whose names appears on the Register of Members/list of Beneficial Owners, as received from National Securities Depository Limited (NSDL) and Central Depository Services (India) Limited (CDSL) on Friday, May 15, 2026 ("Cut-off Date"), along with the details of Login ID and Password to their email IDs registered with Depositories/ Company for seeking their approval on the following:
Members who have not received Postal Ballot Notice may write to [email protected] and obtain the same. The said Postal Ballot is to seek consent of the Members for the following special business:

The said special business is to be transacted by Postal Ballot and includes voting by electronic means (remote e-voting). Pursuant to and in compliance with the provisions of Sections 108 and 110 and other applicable provisions of the Act read with the Rules 20 and 22 and Regulation 44 of the SEBI Listing Regulations, the Company has engaged the services of CDSL for providing remote e-voting facility to the Members and enable them to cast their votes electronically.
The Board of Directors of the Company has appointed Mr. Abhishek Goswami (COP No. 17057), Practicing Company Secretary as the Scrutinizer for conducting the Postal Ballot process (remote e-voting process) in a fair and transparent manner. The detailed procedure of remote e-voting has been provided in the Notes to the Postal Ballot Notice. Remote e-voting shall commence from Friday, 22nd May, 2026 (09:00 A.M.) (IST) to continue till Saturday, 20th June, 2026 (05:00 P.M.) (IST) (both days inclusive) and shall be disabled by CDSL thereafter.
The Postal Ballot Notice including explanatory statement and instruction of remote e-voting is also available on the website of the Company at www.innovanathinklabs.com, websites of the stock exchanges where the equity shares of the Company are listed, i.e. BSE Limited at www.bse.com, NSE Limited at www.nse.com and on the website of CDSL at www.evotingindia.com. In terms of the MCA Circulars the Company has sent the Postal Ballot Notice in electronic form only. The Company expresses its inability to dispatch hard copy of the Postal Ballot Notice along with Postal Ballot forms and pre-paid Business Reply Envelope to the Members for the Postal Ballot.
Members whose names appear in the Register of Members/list of Beneficial Owners as on the Cut-off Date are eligible for e-voting. A person who is not a Member as on the Cut-off Date should treat this Notice for his/her information only. The result of Postal Ballot through remote e-voting shall be declared and announced on or before Tuesday, 23rd June, 2026. The said result along with the Scrutinizer's Report shall be displayed at the Registered Office of the Company and also by placing the same on the Company's website at www.innovanathinklabs.com and communicated on the same day to stock exchanges where the equity shares of the Company is listed, registrar and share transfer agent and remote e-voting agency.

जिन सदस्यों को दावा स्वभाव सूचना प्राप्त नहीं हुई है, वे [email protected] पर लिखकर सूचना प्राप्त कर सकते हैं। तथा दावा स्वभाव निम्नलिखित विशेष कार्य के लिए सदस्यों को सहमति प्राप्त करने हेतु है :

संस्करण दावा स्वभाव द्वारा किया जाता है और इसमें इलेक्ट्रॉनिक कारखानों से कटहल (रोबोट ई-नोटिंग) शामिल है। अधिनियम की धारा 108 और 110 तथा अन्य लागू प्रावधानों के साथ अन्य दस्तावेजों निर्धारित विनियमों के नियम 2.0 और 2.0 तथा विनिमय 44 के अनुपालन में, कोणी ने सदस्यों को रोबोट ई-नोटिंग सूचियां प्रदान करने और उन्हें इलेक्ट्रॉनिक रूप से साइन नोट डालने में सक्षम करने के लिए प्रोटोटाइप्स को रोकने की है।
कोणी के निदेशक संसार ने दावा स्वभाव प्रक्रिया (रोबोट ई-नोटिंग प्रक्रिया) की निष्पक्ष और पारदर्शी तरीके से संचालित करने के लिए जो अभिव्यक्त योग्यताओं (सीओपी काउंसर 21057), डॉक्टरिंग कोणी रोबोटरी की बहु-निरीक्षक नियुक्त किया है। रोबोट ई-नोटिंग को नियुक्त प्रक्रिया दावा स्वभाव सूचना के नोट्स में दी गई है। रोबोट ई-नोटिंग शुक्रवार, 22 मई, 2020 (मुख्य 9-03 बजे) (भारतीय समयानुसार) से शुरू होकर वर्तमान, 30 जून, 2020 (साथ 5-30 बजे) (भारतीय समयानुसार) तक (दोनों दिन शामिल) जारी रहेगी और इसके बाद मोतीदासपुर द्वारा दर्ज बंद कर दिया जाएगा।
दावा स्वभाव सूचना, जिसमें स्पष्टीकरण और दूरस्थ ई-पारदर्श के निर्देश शामिल हैं, कोणी को वेबसाइट www.innovanathinklabs.com, उन स्टॉक एक्सचेंजों को वेबसाइटों पर भी उपलब्ध है जहां कोणी के वेबस सूचीबद्ध हैं, जैसे कि चौदहवीं लिमिटेड को वेबसाइट www.bse.com, एसएसएल लिमिटेड को वेबसाइट www.nse.com और कोडोराहपुर को वेबसाइट www.eechigindia.com पर।
एसमोस के परिपत्रों के अनुसार, कोणी ने दावा स्वभाव सूचना केवल इलेक्ट्रॉनिक रूप में भेजी है। कोणी दावा स्वभाव सूचना को हार्ड कॉपी, दावा स्वभाव प्रपत्र और पूर्वानुमानित न्यायाधीश दास टिप्पणी सदस्यों को भेजने में असमर्थ है।
जिन सदस्यों के नाम बट-ऑफ लिमिटेड का सदस्य सीमाएं/साधनों दोस्तावासों की सूची में दर्ज हैं, वे ई-नोटिंग के लिए दर्ज हैं। तो गरीब बट-ऑफ लिमिटेड एक सदस्य नहीं है, जो स्व-सूचना केवल सूचना के लिए ही समझती चाहिए। रोबोट ई-नोटिंग के माध्यम से दावा स्वभाव का परिचय संचालक, 22 जून, 2020 को या उससे पहले चैंपियर किया जाएगा। जब परिचय, प्रावधानों की रिपोर्ट सहित, कोणी से पंजीकृत कार्यालय के प्रतीति किया जाएगा और कोणी को वेबसाइट www.innovanathinklabs.com पर भी उपलब्ध कराया जाएगा। साथ ही, शर्तें दिन कोणी के दोस्तों को सूचीबद्ध करने वाले स्टॉक एक्सचेंजों, सीमाएं, सेवा कार्यालय एजेंट और रोबोट ई-नोटिंग दर्जनों को भी सूचित किया जाएगा।
इलेक्ट्रॉनिक कारखाना से कटहल को सूचियों से संबंधित सभी शिकायतों की संबंधित दस्तावेज, संदेश प्रबंधक, (मोतीदासपुर) पीएम डिजीविकी सांख्यिक (डीएम) लिमिटेड, 15 जून, 2020 को, जोनाथन चंद्रकांतराम, पाणिनालकर निगम कोरोबोट, 101 एम जीसी मार्ग, सोशल नोड्स (पूर्व), मुंबई - 400013 पर बने संबंधित को जा सकती है या [email protected] पर ईमेल भेजा जा सकता है या टीम-फी नंबर 0000 21 09911 पर फोन किया जा सकता है।
