Item 2.02 Results of Operations and Financial Condition.

On May 3, 2023, Innospec Inc. (the “Company”) issued a press release announcing its financial results for the fiscal quarter ended March 31, 2023 (the “Press Release”).

Item 7.01 Regulation FD Disclosure

The Press Release also announced that on May 2, 2023, the Company’s Board of Directors declared a semi-annual dividend of $0.69 per share on the Company’s common stock (IOSP). The dividend will be paid on May 31, 2023 to holders of record on May 22, 2023.
