(e) On September 13, 2007, Jack Abuhoff, the Chairman and CEO of Innodata Isogen, Inc. (the “Company”), exercised 1,139,160 stock options at a total exercise price of $882,844. Mr. Abuhoff paid the exercise price by surrendering to the Company 229,310 of the shares of common stock he would have otherwise received on the option exercise. He surrendered 395,695 additional shares to the Company in consideration of the payment by the Company on his behalf of $1,523,426 of the withholding taxes payable in respect of the option exercise. The Company issued a press release on September 13, 2007 describing the event set forth herein, a copy of which is attached hereto as Exhibit 99.1.
