Item 8.01 Other Events.

On March 19, 2021, Ingles Markets, Incorporated issued a press release announcing that its Board of Directors authorized the repurchase of up to an aggregate of two million shares of Ingles’ Class A and Class B Common Stock. The press release is attached as Exhibit 99.1 to this Form 8-K and incorporated by reference in this Item 8.01 .
