Ingenia Communities Group (ASX: INA) - Notice under sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act 2001 (Cth)

Ingenia Communities Group (comprising Ingenia Communities Fund ARSN 107 459 576, Ingenia Communities Management Trust ARSN 122 928 410 and Ingenia Communities Holdings Limited ACN 154 444 925) ( Ingenia Group ) gives this notice in accordance with sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

On 7 November 2018 the Ingenia Group issued 23,176,816 new fully paid ordinary stapled securities, comprising one unit in the Ingenia Communities Fund, one unit in the Ingenia Communities Management Trust and one share in Ingenia Communities Holdings Limited ( Placement Securities ) to Sun INA Equity LLC (a wholly owned subsidiary of Sun Communities Inc) pursuant to a placement announced to the market on 7 November 2018.

For the purposes of sections 708A(6) and 1012DA(6) of the Corporations Act:

1. the Placement Securities were issued without a Product Disclosure Statement being prepared for the Placement Securities under Part 7.9 and without disclosure under Part 6D.2;

2. as a disclosing entity the Ingenia Group is subject to regular reporting and disclosure obligations;

3. as at the date of this notice:

   • (a) Ingenia Group has complied with the provisions of Chapter 2M, and section 674, of the Corporations Act as they apply to Ingenia Group; and

   • (b) there is no excluded information of the type referred to in sections 708A(7), 708A(8), 1012DA(7) and 1012DA(8) of the Corporations Act.
