Dear Sir/Madam,

Ingenia Communities Group (ASX Code: INA) - Notification under sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act 2001 (Cth).

Ingenia Communities Group (compromising Ingenia Communities Fund ARSN 107 459 576, Ingenia Communities Management Trust ARSN 122 928 410 and Ingenia Communities Holdings Limited ACN 154 444 925) ( Ingenia Group ) gives this notice in accordance with sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

1. The Ingenia Group has on 27 June 2013 issued 66,150,000 new stapled securities compromising one unit in the Ingenia Communities Fund, one unit in the Ingenia Communities Management Trust and one share in the Ingenia Communities Holdings Limited ( Placement Securities ) to investors pursuant to a placement, the results of which were announced to the ASX on 20 June 2013.

2. The Placement Securities were issued without a Product Disclosure Statement for the Placement Securities being prepared, and without disclosure to investors under Part 6D.2 of the Corporations Act.

3. As a disclosing entity, the Ingenia Group is subject to regular reporting and disclosure obligations.

4. As at the date of this notice, the Ingenia Group has complied with:

   • (i) the provisions of Chapter 2M of the Corporations Act as they apply to the Ingenia Group; and

   • (ii) section 674 of the Corporations Act as it applies to the Ingenia Group.

5. As at the date of this notice, there is no excluded information of the type referred to in sections 708A(7), 708A(8), 1012DA(7) and 1012DA(8) of the Corporations Act.
