Changes to Ingenia Communities Group Board
Ingenia Communities Group (ASX: INA) advises changes to the Group’s Board, with the resignation of Mr Gary Shiffman and the appointment of Mr John McLaren as the Sun Communities Group (NYSE: SUI) subscriber nominee director.
Mr Shiffman joined the Board in December 2018 as the subscriber nominee director of Sun Communities (Sun). Ingenia entered into a Joint Venture with Sun to undertake greenfield development in November 2018 and Sun also has a significant investment in the Group. Under the terms of the Subscription Agreement entered into in November 2018, Sun is entitled to appoint a Director to the Group’s Board.
Mr Shiffman, who was appointed to the role of Director in December 2018, is Chairman and CEO of Sun Communities and has made a significant contribution to the Board since his appointment, bringing a valuable international perspective based on his experience of over 30 years in building one of the largest and most successful lifestyle and holiday communities companies globally.
Mr McLaren was appointed by Mr Shiffman as an alternate director in February 2019. Mr McLaren is President and Chief Operating Officer of Sun Communities and has more than 26 years of experience in executive and non-executive roles in financial and real estate public companies and has been actively involved in the management, acquisition, construction and development of manufactured housing communities and recreational resorts over the past 20 years. Mr McLaren has served as the President and Chief Operating Officer for more than seven years.
Jim Hazel, Chairman of Ingenia Communities Group, said he looks forward to continuing the positive working relationship the Group enjoys with Sun and to working with John who has been an active contributor to the Board in his role as alternate director.
“The Board and management team thank Gary for his generous contribution to the Group over the past three years. His decades of experience in the more mature US market and his willingness to provide access to Sun’s business and team have been invaluable as Ingenia has continued to rapidly expand.
“John has also been actively engaged with the Group since establishment of the Joint Venture in 2018 and steps into the role of nominee Director with a good understanding of the business. John is a regular attendee at Board meetings and has a strong understanding of the business and a high level of engagement with the Joint Venture and our management team. We look forward to continuing our relationship with John and to his ongoing contribution to the Group.”

Mr Shiffman will step down from the Board on 6 December and Mr McLaren’s appointment will become effective on that date.
