Report Content 2025-05-09 Report No. 16/2025: Registration of amendments to the Charterof ING Bank Śląski S.A.

The Management Board of ING Bank Śląski S.A. ("Bank") hereby give noticethat the Bank received the decision of the District Court forKatowice-Wschód in Katowice, 8th Commercial Division of the NationalCourt Register of 9 May 2025 concerning registration of amendments tothe Bank Charter. The registered amendments to the Charter were passedby way of Resolution No. 28 of the Ordinary General Meeting of the Bankof 29 April 2025 under § 1.2 and § 1.8-1.11. The notice of the adoptedresolution was published in Current Report No. 14/2025 of 29 April 2025,in the part pertaining to Resolution No. 28 of the Ordinary GeneralMeeting. The registered amendments to the Charter are attached hereto.

The other amendments to the Charter resulting from Resolution No. 28 ofthe Ordinary General Meeting of 29 April 2025 shall be covered by aseparate registration filing with the National Court Register, providedthat the approval of the Polish Financial Supervision Authority has beenobtained by the Bank.

At the same time, following the registration in the National CourtRegister of the amendment to § 26.1 of the Bank Charter regarding thenumber of Management Board Members, pursuant to the Supervisory Boardresolutions on appointment of Management Board Members, publishedrespectively by the Bank in Current Report No. 13/2025 of 29 April 2025,the Bank Management Board as of today shall be composed of 9 persons;and the role of the Vice-President of the Management Board was assumedby Ms Ewa Łuniewska.

Legal grounds: Article 5.1 and Article 6 of the Minister for FinanceRegulation of 29 March 2018 on current and interim information providedby securities issuers and conditions for recognising as equivalent theinformation required by law of a non-member state (Journal of Laws No.item 757).
