Completion of Divestment of Cloud & Communications Segment
Infotrust Ltd (“ Infotrust ”; “ Company ”) advises that it has completed the divestment of its Cloud & Communications segment, comprising 100% of Nexgen Investment Group Pty Ltd and its subsidiaries (“ Nexgen ”), to Aussie Broadband Limited (ASX: ABB), as previously announced on 23 February 2026.
The divestment of Nexgen represents a significant milestone in Infotrust’s strategic transformation into ‑ a focused, cyber first technology services provider, and materially strengthens the Company’s balance sheet to support its cyber security growth strategy and acquisition pipeline.
Total consideration payable by the purchaser for on-target earnings is $50 million of which on Completion, Infotrust received upfront cash consideration of $44.1 million, with up to $5.9 million of contingent consideration payable subject to Nexgen achieving agreed EBITDA performance targets in FY26 or FY27, as previously disclosed.
Infotrust will provide transitional services to Nexgen for a limited period following Completion, in accordance with the agreed transitional services arrangements.
