Infosys Limited, a company organized under the laws of the Republic of India ("Infosys", or the "Company"), hereby files with the United States Securities and Exchange Commission this Report on Form 6-K containing certain information regarding the retirement of an independent member of its Board of Directors. This Report on Form 6-K shall be deemed to be incorporated by reference into the Company's registration statements under the Securities Act of 1933, as amended.

On August 13, 2012, the Company issued a press release announcing that Mr. Sridar A. Iyengar, a member of its Board of Directors and an Independent Director under the applicable rules of the NASDAQ Stock Market, has retired from the Board effective August 13, 2012. A copy of this press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
