Declaration of Compliance with the German Corporate Governance Code issued fpr the fiscal year 2011 by the Management Board and Supervisory Board of Infineon Technologies AG

Since the submission of the last Declaration of Compliance in November 2010, Infineon Technologies AG has complied, and will comply in the future, with all recommendations of the German Corporate Governance Code (GCGC) in the version of May 26, 2010.

Infineon has in addition adopted all of the suggestions presented in the German Corporate Governance Code in the version of May 26, 2010.
