POSTAL BALLOT NOTICE AND E-VOTING INFORMATION Members are hereby informed that pursuant to the provisions of Sec琀ons 108 and 110 and other applicable provisions, if any, of the Companies Act, 2013 ( “the Act” ) read with Rules 20 and 22 of the Companies (Management and Administra琀on) Rules, 2014 ( “Rules” ) made thereunder, as amended from 琀me to 琀me, Regula琀on 44 of the SEBI (Lis琀ng Obliga琀ons and Disclosure Requirements) Regula琀ons, 2015 ( “Lis琀ng Regula琀ons” ), relevant Circulars issued by the Ministry of Corporate A昀airs ( “MCA Circulars” ) from 琀me to 琀me, including the latest General Circular No. 03/2025 dated September 22, 2025, Secretarial Standard – 2 on General Mee琀ngs issued by the Ins琀tute of Company Secretaries of India ( “SS-2” ) and other applicable law, rules and regula琀ons (including any statutory modi昀ca琀on(s) or reenactment(s) thereof for the 琀me being in force), the Company has completed the dispatch of No琀ce of Postal Ballot together with an Explanatory Statement pursuant to Sec琀on 102 of the Act on Monday, March 16, 2026, only through electronic mode to those Members whose e-mail addresses are registered with the Company/Depository Par琀cipant(s)/Registrar and Share Transfer Agent as on Friday, March 13, 2026 (“ Cut-O昀 date ”). The communica琀on of the assent or dissent of the Members will take place through the e-vo琀ng system only. The Company is seeking approval of the Members on the resolu琀ons as described in the Postal Ballot No琀ce. The Company has engaged the services of MUFG In琀me India Private Limited (Formerly Link In琀me India Private Limited) (“MUFG”) for providing e-vo琀ng facility to all its Members to enable them cast their vote electronically. The details of e-vo琀ng period are as under: Cut-o昀 Date for eligibility to vote Friday, March 13, 2026 Commencement of e-vo琀ng period Tuesday, March 17, 2026 at 9:00 A.M. Conclusion of e-vo琀ng period Wednesday, April 15, 2026 at 5:00 P.M. The e-vo琀ng module shall be disabled by MUFG immediately therea昀er and the Members will not be allowed to vote beyond the said date and 琀me. Only those Members whose name appear in the Register of Members of the Company or in the Register of Bene昀cial Owners maintained by the Depositories as on the Cut-o昀 Date will be en琀tled to cast their votes by remote e-vo琀ng. The Vo琀ng Rights of the Members shall be in the propor琀on to the shares held by them in the paid up equity share capital of the Company as on the Cut-o昀 Date. Once the vote on the resolu琀on is cast by the Member, he/she shall not be allowed to modify it subsequently. The detailed procedure of e-vo琀ng is men琀oned in the Postal Ballot No琀ce and for more details on e-vo琀ng, the Members may also log on to the website of the Company at www.indoborax.com and website of the e-vo琀ng agency at instavote.linkin琀me.co.in. A person who is not a Member as on the Cut-O昀 date should treat the Postal Ballot No琀ce for informa琀on purpose only. Members holding shares in dematerialised mode, who have not registered/updated their e-mail addresses with their Depository Par琀cipant(s), are requested to register/update their e-mail address with the relevant Depository Par琀cipant(s) where they maintain their demat accounts. The Postal Ballot No琀ce is also available on the website of the Company at www.indoborax.com, BSE Limited at www.bseindia.com and the Na琀onal Stock Exchange of India Limited at www.nseindia.com and on the website of the e-vo琀ng agency at instavote.linkin琀me. co.in. Members who do not receive the Postal Ballot No琀ce may download it from the above-men琀oned websites. The Board of Directors of the Company has appointed CS Mannish L. Manish Ghia & Associates, Prac琀cing Company Secretaries, Mumbai, as the Scru琀nizer to conduct the Postal Ballot through remote e-vo琀ng process in a fair and transparent manner. The resolu琀ons, if approved, shall be deemed to have been passed on the last date of the e-vo琀ng i.e. Wednesday, April 15, 2026 . The results of the Postal Ballot will be declared by the Chairperson or any other person authorized by him within two working days from the conclusion of the e-vo琀ng.
