AMENDMENT TO BUSINESS COMBINATION AGREEMENT

This Amendment Agreement is dated the 17[th] day of February, 2021.

BETWEEN:

INDIGENOUS BLOOM HEMP CORPORATION , a company incorporated under the federal laws of Canada

(hereinafter referred to as “ HempCo ”)

AND:

VERITAS PHARMA INC , a company incorporated under the laws of the Province of British Columbia

(hereinafter referred to as “ VRT ”)

AND:

12302161 CANADA INC. , a company incorporated under the federal laws of Canada

(hereinafter referred to as “ Newco ”)

WHEREAS the parties entered into a business combination agreement dated September 4, 2020 (the “ Business Combination Agreement ”) pursuant to which HempCo and VRT agreed to combine the business and assets of HempCo with those of VRT; and

WHEREAS the parties desire to amend the Business Combination Agreement to extend certain dates.

NOW THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties hereto agree as follows:

THE PARTIES AGREE AS FOLLOWS;

1. The parties hereby agree that the definition of “Completion Deadline” in section 1.1 of the Business Combination Agreement is hereby amended by deleting “January 15, 2021” and inserting “June 30, 2021” in its place.

2. The parties hereby agree that section 2.1(a) of the Business Combination Agreement is hereby amended by deleting “December 31, 2020” and inserting “June 15, 2021” in its place.

3. The parties hereby agree that section 2.1(b) of the Business Combination Agreement is hereby amended by deleting “December 31, 2020” and inserting “June 15, 2021” in its place.

1. The parties hereby agree that section 2.1(c) of the Business Combination Agreement is hereby amended by deleting “January 8, 2021” and inserting “June 22, 2021” in its place

2. This Agreement may be executed in several counterparts each of which when so executed shall be deemed to be an original and such counterparts together shall constitute one and the same instrument and shall be effective as of the formal date hereof.

3. This Agreement shall enure to the benefit of and be binding upon the parties hereto and their respective successors and assigns, and shall be governed in all respects by the laws of the Province of British Columbia and the applicable laws of Canada.

4. Except as hereby amended the Business Combination Agreement shall continue in full force and effect until the date on which it is terminated by the mutual consent of the Lenders.
