Subject: Outcome of Board Meeting - Change in Share Transfer Agent
Dear Sir/ Madam.
We would like to bring to your attention the receipt of notice of termination of Share Transfer Agent (STA) services from our existing STA M/s Sundaram Clayton Limited. The notice of termination was dated 1st February, 2021 and the termination is to take effect from the expiry of 3rd month from the date of termination notice as per the terms of the agreement with STA. The decision to terminate the services was taken by M/s Sundaram Clayton Limited due to proposed closure of their STA operations.
Further, pursuant to Regulation 30 read with Regulation 7 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (SEBI LODR Regulations), we wish to inform you that the Board of Directors, at their meeting held today i.e., 12th February 2021, approved the appointment of Cameo Corporate Services Ltd (Cameo) having its Registered Office at "Subramanian Building", No.1, Club House Road, Chennai 600002 as the STA once the termination is operationalized and the formalities for change in STA are completed.
In terms of Regulation 7 of SEBI LODR Regulations, tripartite agreement between the existing STA, Cameo and the Company will be executed in the manner specified and the effective date from which Cameo will act as the STA will be intimated to the Stock Exchanges in due course.
