Re: Outcome of Separate Meeting of Independent Directors

Dear Sir,

In pursuance to Regulation 25(3) & (4) of SEBI (LODR) Regulations, 2015 and Schedule IV, Clause VII of Companies Act, 2013, a separate meeting of the Independent Directors of the company was held today, Wednesday, March 15, 2023. The following items were discussed and taken on record:-

1. Reviewed the performance of Non-Independent Directors and the Board as a whole which was found to be satisfactory.

2. Reviewed the performance of the Chairman and non-executive directors of the company was found to be satisfactory.

3. Evaluated the Quantity, Quality, and timeliness of the flow of information between the company’s management and Board in line with the requirements of Regulation 25 of SEBI (LODR) Regulations, 2015 read with applicable provisions of Schedule IV of the Companies Act, 2013 which was found satisfactory.

The meeting commenced at 12.00 p.m. and ended at 01.00 p.m.
