Comunicazione acquisto di azioni proprie

Sant'Agata Feltria (Rimini), 03 novembre 2025 – Indel B S.p.A. – società quotata all' EXM di Borsa Italiana, a capo di un gruppo attivo nella produzione di sistemi di refrigerazione e condizionamento per il mobile e mobile living per i mercati automotive, hospitality e leisure time (nautica da diporto e recreational vehicles), – nell'ambito del programma di acquisto di azioni proprie deliberato dall'Assemblea degli azionisti in data 23 Maggio 2025 e avviato a seguito della delibera del Consiglio di Amministrazione in data 9 luglio 2025 sino ad un massimo di n. 100.000 azioni ordinarie – ai sensi e per gli effetti dell'art. 5 del Regolamento (UE) n. 596/2014, e dell'art. 2, paragrafo 3, del Regolamento Delegato (UE) n. 2016/1052 della Commissione dell'8 marzo 2016 – comunica di aver acquistato su Euronext Milan (EXM) organizzato e gestito da Borsa Italiana S.p.A, nel periodo compreso tra il 28 ottobre 2025 e il 03 novembre 2025, complessive n. 2.276 azioni proprie (corrispondenti allo 0,039% del numero complessivo di azioni ordinarie), al prezzo medio ponderato di Euro 19,3010 per un controvalore titoli complessivo pari a Euro 43.929,15.

Sulla base delle informazioni fornite da Intesa Sanpaolo - IMI Corporate & Investment Banking Division, intermediario abilitato incaricato di effettuare gli acquisti oggetto del presente comunicato, si riporta qui di seguito il riepilogo delle operazioni, su base giornaliera, in forma aggregata:

Sant'Agata Feltria (Rimini), 03 November 2025 – Indel B S.p.A. - a company listed on the Borsa Italiana EXM and parent of a group that operates in the manufacture of cooling systems and air-conditioning for mobile and mobile living for the automotive, hospitality and leisure time markets (pleasure boats and recreational vehicles) – under the buyback program of treasury shares approved by the Shareholders' Meeting on May 23, 2025 and initiated following the resolution of the Board of Directors on July 9, 2025 up to n. 100,000 ordinary shares pursuant to Article 5 of Regulation (EU) 596/2014 and Article 2, paragraph 3, of the Commission Delegated Regulation (EU) 2016/1052 of 8 March 2016 – announces to have acquired on the on the Euronext Milan (EXM), organized and managed by Borsa Italiana S.p.A., in the period from 28 th October 2025 to 03rd November 2025 both total n. 2,276 of treasury shares (corresponding to 0.039% of the total number of ordinary shares), at a weight average price of Euro 19.3010 for a total counter-value of Euro 43,929.15.
