Indel B S.p.A. cede l'intera partecipazione detenuta in Guangdong Iceco Enterprise, Co., Ltd. per un corrispettivo pari ad Euro 11.500.000

Sant'Agata Feltria (Rimini), 26 maggio 2021 – Indel B S.p.A. – società quotata all'MTA di Borsa Italiana a capo di un gruppo attivo nella produzione di sistemi di refrigerazione per il mobile e mobile living per i mercati automotive, hospitality e leisure time (nautica da diporto e recreational vehicles) – comunica di avere perfezionato in data odierna il contratto avente ad oggetto la cessione dell'intera partecipazione detenuta nel capitale sociale di Guangdong Iceco Enterprise Co., Ltd ("Guangdong Iceco") pari al 27,29% del capitale sociale.

L'accordo prevede l'impegno da parte di Xinyu City YUANXING Enterprise Management Consulting Center, società di diritto cinese, ad acquistare l'intera partecipazione detenuta da Indel B nel capitale sociale di Guangdong Iceco per un corrispettivo complessivo pari a RMB 90.000.000 (corrispondenti a circa Euro 11.500.000 al tasso di cambio odierno). L'accordo prevede che il prezzo sia regolato in due tranches di cui la prima, per RMB 40.000.000, entro il termine massimo di 35 giorni lavorativi dalla data di formalizzazione del trasferimento presso le competenti autorità cinesi e la seconda, per RMB 50.000.000, allo scadere del secondo anno dalla data di stipula del contratto.

Il ricavato della cessione sarà destinato a supportare le strategie di crescita del Gruppo che oggi prevedono una concentrazione delle attività produttive e commerciali principalmente in Italia, Europa e Nord America.

In questa direzione vanno le ultime acquisizioni di Indel B attraverso la sua controllata Autoclima Spa con la recente acquisizione del 100% della società italiana S.E.A Srl e del 100% della società francese Electric Station Climatisation SA acquisita a Gennaio 2021. Nella stessa direzione va pure la concentrazione di alcune produzioni nel nuovo stabilimento di Secchiano dove stiamo già realizzando alcune attività produttive che prima venivano fatte in Cina".

Indel B S.p.A. sold its entire investment in Guangdong Iceco Enterprise, Co., Ltd. for a price of Euro 11,500,000

Sant'Agata Feltria (Rimini), 26 May 2021 – Indel B S.p.A. – company listed on the Borsa Italiana MTA heading a group that operates in the production of cooling systems for mobile and mobile living for the automotive, hospitality and leisure time markets (pleasure boating and recreational vehicles) - reports that it has today stipulated the contract for the sale of the entire shareholding held in Guangdong Iceco Enterprise Co., Ltd. ("Guangdong Iceco"), equal to 27.29% of the share capital.

The agreement provides for a commitment by Xinyu City YUANXING Enterprise Management Consulting Center, a company incorporated under Chinese law, to purchase the entire stake held by Indel B in the share capital of Guangdong Iceco for a total price of RMB 90,000,000 (corresponding to approximately Euro 11,500,000 at today's exchange rate). The agreement provides for the price to be settled in two tranches, the first of which, for RMB 40,000,000, within a maximum of 35 working days from the date of formalisation of the transfer with the competent Chinese authorities and the second, for RMB 50,000,000, at the end of the second year from the date of signing of the contract.

The proceeds from the sale will be used to support the Group's growth strategies, which currently envisage a concentration of production and commercial activities mainly in Italy, Europe and North America.
