NOMINA PER COOPTAZIONE DI UN NUOVO AMMINISTRATORE

Sant'Agata Feltria (Rimini), 09 Settembre 2024 – Indel B S.p.A. – società quotata all' EXM di Borsa Italiana, a capo di un gruppo attivo nella produzione di sistemi di refrigerazione e condizionamento per il mobile e mobile living per i mercati Automotive, Hospitality e Leisure Time (nautica da diporto e recreational vehicles), rende noto che il Consiglio di Amministrazione, riunitosi in data odierna, ha deliberato la nomina per cooptazione, ai sensi dell'art. 2386, primo comma, del Codice Civile, del dott. Francesco Pedini Amati, quale Amministratore della Società, il quale resterà in carica sino alla prossima assemblea degli azionisti della Società.

La nomina avviene a seguito del decesso, avvenuto in data 2 agosto u.s, del Consigliere Oscardo Severi, eletto dall'assemblea degli azionisti del 31 maggio 2023.

Il curriculum vitae del nuovo Amministratore è a disposizione degli Azionisti presso la sede sociale e sul sito internet della Società (www.indelbgroup.com sezione Governance).

Si precisa che il dott. Francesco Pedini Amati, secondo quanto emerge dalla documentazione del medesimo presentata e dalle valutazioni svolte in proposito dal Consiglio di Amministrazione all'atto della candidatura, risulta in possesso dei requisiti prescritti dalla normativa applicabile, anche regolamentare, dallo Statuto della Società e dal Codice di Corporate Governance per l'assunzione della carica.

Si informa infine che il neo Consigliere non possiede azioni di Indel B S.p.A.

CO-OPTION OF A NEW ADMINISTRATOR

Sant'Agata Feltria (Rimini), 09 September 2024 – Indel B S.p.A. – company listed on the Borsa Italiana EXM, heading a group that operates in the production of cooling and air-conditioning systems for mobile and mobile living for the Automotive, Hospitality and Leisure Time markets (pleasure boating and recreational vehicles) announces that the Board of Directors, held today, resolved to appoint by co-optation, pursuant to Art. 2386, first paragraph, of the Italian Civil Code, of Mr. Francesco Pedini Amati, as a new member of the Board of Directors, who will remain in place until the next Shareholders' Meeting

The appointment follows the death on August 2, 2024 of Director Oscardo Severi, who was appointed by the Shareholders' meeting on May 31, 2023.

The curriculum vitae of the new Director is available to Shareholders at the registered office and on the Company's website (www.indelbgroup.com Governance section).

It should be noted that Dr. Francesco Pedini Amati, according to what appears from the documentation submitted by him and from the assessments carried out in this regard by the Board of Directors at the time of his candidacy, is in possession of the requirements prescribed by the applicable legislation, including regulations, the Company's Bylaws and the Corporate Governance Code for assuming the position.

Finally, it should be noted that the newly appointed Director does not own any shares of Indel B S.p.A.
