Additional Explanations

2022 yılı kar dağıtımına ilişkin Yönetim Kurulu teklifinin Kamuoyuna (Kamuyu Aydınlatma Platformu'nda, Merkezi Kayıt Kuruluşu Elektronik Genel Kurul Sisteminde, Şirketin www.index.com.tr internet adresinde) duyurulduğu şekilde görüşülmesine geçildi. Divan başkanı Yönetim Kurulu'nun kar dağıtım önerisini okumak üzere kâtip Sayın Halil Duman'a söz verdi. Öneri aşağıda yer aldığı şekliyle okundu.

a) 1. Tertip Yedek Akçe: 2022 yılı net dönem karı olan 551.500.225 TL'den Vergi Mevzuatına göre oluşan kar olan 678.573.680 TL'den ödenmiş sermayenin %20'sine kadar olan toplam 10.907.532,50 TL 1. Tertip Yedek Akçe ayrılması,

b) 1. Kar Payı ve Toplam Adi Pay Sahiplerine Ödenecek Kar Payı: Vergi sonrası net kar olan 551.500.225 TL'den 10.907.532,50 TL 1.Tertip Yedek Akçe ayrıldıktan sonra, SPK düzenlemelerine göre yıl içerisinde yapılan 240.000 TL tutarındaki bağışların ilavesi sonrası 540.832.692,50 TL net dağıtılabilir kar tespit edilerek bu tutardan adi pay sahiplerine brüt 189.291.442,38 TL (%84,50559 oranında 1 TL nominal değerli hisseye 0,8450559 TL), toplam net 170.362.298,14 TL (%76,05502 oranında 1 TL nominal değerli hisseye 0,7605502 TL) kar payı dağıtılması,

c) İmtiyazlı Pay Sahiplerine Ödenecek Temettü: Bağışlar eklenmiş net dağıtılabilir dönem karı olan 540.832.692,50 TL'den 1. temettü tutarı olan 189.291.442,38 TL düşüldükten sonra kalan 351.541.250,12 TL'nin %5'i oranında A Grubu İmtiyazlı Pay sahiplerine brüt 17.577.062,51 TL (1 TL nominal değerli hisseye 13.810,62803 TL) net 15.819.356,26 TL (1 TL nominal değerli hisseye 12.429,5652 TL)'nin nakit olarak dağıtılması,

- 19.566.850,59 TL ikinci tertip yedek akçe olarak ayrılması,

- Geri kalan tutarın olağanüstü yedek akçe ayrılması,

- Kar dağıtımına 02 Mayıs 2023 tarihinde başlanılması önerilmiştir. Öneri oy birliği ile kabul edilmiştir.
