Additional Explanations

Yönetim Kurulumuz Şirket merkezinde toplanarak 25.06.2024 tarihinde yapılan olan Olağan Genel Kurul toplantısı ile ilgili aşağıdaki kararları almıştır.

1- Yasal kayıtlardaki dağıtılabilir karın SPK düzenlemelerine göre hazırlanan mali tablolarındaki dağıtılabilir kar tutarından fazla olduğundan SPK düzenlemelerine göre hazırlanan mali tablolarındaki dağıtılabilir kar tutarının kar dağıtımına esas alınmasına, brüt 262.333.382,37 TL net 236.100.044,13 TL nakit temettü dağıtılmasına ilişkin teklifin sunulmasına karar verilmiştir.

2- Olağan Genel Kurul Toplantısına Sunulacak kar dağıtım önerisi aşağıdaki gibidir:

a) 1. Tertip Yedek Akçe : 2023 yılı net dönem karı olan 508.218.517 TL'den Vergi Mevzuatına göre oluşan kar olan 1.027.211.374 TL'nin %5 oranında toplam 51.360.568,70 TL 1. Tertip Yedek Akçe ayrılmasına,

b) 1. Kar Payı ve Toplam Adi Pay Sahiplerine Ödenecek Kar Payı: Vergi sonrası net kar olan 508.218.517 TL'den 170.275.792 TL geçmiş yıllar zararının düşüldükten ve 51.360.568,70 TL 1.Tertip Yedek Akçe ayrıldıktan sonra, SPK düzenlemelerine göre yıl içerisinde yapılan 20.085.491 TL tutarındaki bağışların ilavesi sonrası 306.667.647,30 TL net dağıtılabilir kar tespit edilerek bu tutardan adi pay sahiplerine brüt 260.000.000 TL (%34,66686 oranında 1 TL nominal değerli hisseye 0,3466686 TL), toplam net 234.000.000TL (%31,20017 oranında 1 TL nominal değerli hisseye 0,3120017 TL) kar payı dağıtılmasına,

c) İmtiyazlı Pay Sahiplerine Ödenecek Temettü: Net dağıtılabilir dönem karı olan 306.667.647,30 TL'den 1. temettü tutarı olan 260.000.000 TL düşüldükten sonra kalan 46.667.647,30 TL'nin %5'i oranında A Grubu İmtiyazlı Pay sahiplerine brüt 2.333.382,37 TL (1 TL nominal değerli hisseye 54.757,02285 TL) net 2.100.044,13 TL (1 TL nominal değerli hisseye 49.281,32056 TL)'nin nakit olarak dağıtılmasına,

- 22.483.338,24 TL ikinci tertip yedek akçe olarak ayrılmasına,

- Geri kalan tutarın olağanüstü yedek akçe ayrılmasına,

- Kar dağıtımına 05 Temmuz 2024 tarihinde başlanılmasına karar verilmiştir.
