Additional Explanations

2021 yılı kar dağıtımına ilişkin Yönetim Kurulu teklifinin Kamuoyuna (Kamuyu Aydınlatma Platformu'nda, Merkezi Kayıt Kuruluşu Elektronik Genel Kurul Sisteminde, Şirketin www.index.com.tr internet adresinde) duyurulduğu şekilde görüşülmesine geçildi. Divan başkanı Yönetim Kurulu'nun kar dağıtım önerisini okumak üzere Kâtip Sayın Halil Duman'a söz verdi. Öneri aşağıda yer aldığı şekliyle okundu.

a) 1. Tertip Yedek Akçe : 2021 yılı net dönem karı olan 403.037.567 TL'den Vergi Mevzuatına göre oluşan kar olan 315.997.923 TL'nin %5 oranında toplam 15.799.896,15 TL 1. Tertip Yedek Akçe ayrılmasına,

b) 1. Kar Payı ve Toplam Adi Pay Sahiplerine Ödenecek Kar Payı: Vergi sonrası net kar olan 403.037.567 TL'den 15.799.896,15 TL 1.Tertip Yedek Akçe ayrıldıktan sonra, SPK düzenlemelerine göre yıl içerisinde yapılan 411.259 TL tutarındaki bağışların ilavesi sonrası 387.648.929,85 TL net dağıtılabilir kar tespit edilerek bu tutardan adi pay sahiplerine brüt 120.000.000 TL (% 53,57173 oranında 1 TL nominal değerli hisseye 0,5357173 TL),toplam net 108.000.000 TL ( % 48,21455 oranında 1 TL nominal değerli hisseye 0,4821455 TL) kar payı dağıtılmasına,

c) İmtiyazlı Pay Sahiplerine Ödenecek Temettü: Net dağıtılabilir dönem karı olan 387.648.929,85 TL'den 1. temettü tutarı olan 120.000.000 TL düşüldükten sonra kalan 267.648.929,85 TL'nin %5'i oranında A Grubu İmtiyazlı Pay sahiplerine brüt 13.382.446,49 TL (1 TL nominal değerli hisseye 10.514,84 TL) net 12.044.201,84 TL (1 TL nominal değerli hisseye 9.463,36 TL)'nin nakit olarak dağıtılmasına,

-12.218.244,65 TL ikinci tertip yedek akçe ayrılmasına,

- Geri kalan tutarın olağanüstü yedek akçe ayrılmasına,

- Kar dağıtımına 25 Mayıs 2022 tarihinde başlanılması önerilmiştir. Öneri 1 ret oyuna karşılık 100.905.777,16 kabul oyu neticesinde oyçokluğu ile kabul edilmiştir.
