Information regarding Forty-Second Annual General Meeting of Indag Rubber Ltd. Notice is hereby given that the Forty-Second Annual General Meeting (AGM) of the Members of Indag Rubber Limited (“the Company”) will be held on Thursday, September 30, 2021 at 03:30 P.M. through Video Conferencing (“VC”) / Other Audio Visual Means (“OAVM”), in compliance with all the applicable provisions of the Companies Act, 2013 and the Rules made thereunder and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ('Listing Regulations') read with General Circular Nos. 14/2020, 17/2020, 20/2020 and 02/2021 dated 8th April 2020, 13th April 2020, 5th May 2020 and 13th January, 2021, respectively, issued by the Ministry of Corporate Affairs (“MCA Circulars”) and Circular No. SEBI/HO/CFD/CMD1/CIR/P/2020/79 and Circular No. SEBI/HO/CFD/CMD2/CIR/P/2021/11 dated 12th May 2020 and January 15, 2021 respectively, issued by the Securities and Exchange Board of India (“SEBI Circulars”) (collectively referred to as “relevant circulars”), to transact the business as set out in the Notice calling the AGM.

In compliance with the relevant circulars, the Notice of the AGM and the Annual Report for the financial year 2020-2021 will be sent to all the Members of the Company through electronic mode whose name appears, in the Register of Members as on August 27, 2021 and whose email addresses are registered with the Company/Registrar and Share Transfer Agent/Depository Participant(s). The aforesaid documents will also be available on the Company's website at www.indagrubber.com and on the website of BSE Limited at www.bseindia.com and on the website of NSDL at www.evoting.nsdl.com. Members can attend and participate in the ensuing AGM through VC/OAVM only and such Members shall be reckoned for the purpose of quorum under Section 103 of the Companies Act, 2013.

Manner of registering / updating email addresses by the Members:

Ÿ In case shares are held in physical mode please provide Folio No., Name of shareholder, scanned copy of the share certificate (front and back), PAN (self-attested scanned copy of PAN card), AADHAR (self-attested scanned copy of Aadhar Card) and ECS Mandate by email to [email protected] or to [email protected]

Ÿ In case shares are held in demat mode, please provide DPID-CLID (16 digit DPID + CLID or 16 digit beneficiary ID), Name, client master or copy of Consolidated Account statement, PAN (self-attested scanned copy of PAN card), AADHAR (self-attested scanned copy of Aadhar Card) and ECS Mandate to your Depository Participant.

Manner of casting vote(s) through e-voting:

Ÿ The manner of voting remotely (“remote e-voting”) by members holding shares in dematerialised mode, physical mode and for members who have not registered their email addresses will be provided in the Notice of the AGM. The details will also be available on the website of the Company at www.indagrubber.com.

Ÿ The facility for voting through electronic voting system will also be made available at the AGM and Members attending the AGM who have not cast their vote(s) by remote e-voting will be able to vote at the AGM.

Ÿ The login credentials for casting votes through e-voting shall be made available to the members through email. Members who do not receive email or whose email addresses are not registered with the Company / Depository Participant(s), may generate login credentials by following instructions given in the Notes to Notice of AGM. Ÿ The same login credentials may also be used for attending the AGM through VC / OAVM. The Board of Directors in their meeting held on May 08, 2021 has recommended a Final Dividend of Rs. 1.50/- per equity Share of face value of Rs. 2/- each. The Book closure date for the purpose of AGM and Final Dividend for the financial year 2020-21 will be from Friday, September 24, 2021 to Thursday, September 30, 2021 (both days inclusive). The Final Dividend once approved by the Shareholders in the ensuing AGM will be paid within 30 days from the date of AGM on or before October 30, 2021, electronically through various online transfer modes to those Shareholders who have updated their Bank Account details with the Company or the Depository Participant(s). The Shareholders who have not updated their Bank Account details, dividend warrants/demand drafts will be sent to their registered address depending on the availability of postal services. To enable direct credit of the Dividend Amount, Shareholders are requested to update their Bank Account details with their Depository Participant(s) (where Shares are held in Dematerialised mode) and with theCompany'sRegistrarandShareTransferAgent(whereSharesareheldinPhysicalmode). Pursuant to the changes introduced by the Finance Act, 2020, dividends paid or distributed by the Company after 1st April 2020, shall be taxable in the hands of the Members and the Company shall be required to deduct tax at source (TDS) at the prescribed rates from the dividend to be paid to Members. The TDS rate would vary depending on the residential status of the Member and the documents submitted by them and accepted by the Company. The Company has also sent individual communication on July 20, 2021 to the shareholders who have registered their email IDs with the Company/RTA. The notice of 34th AGM and Annual Report of the Company for the Financial Year ended 31st March, 2021 along with the login details for joining the 34th AGM through VC/ OAVM facility including e-voting has been sent on 1st September, 2021 through e-mail to all those members whose e-mail addresses were registered with the Company or Registrar and Share Transfer Agent or with their respective Depository Participants (DPs) in accordance w i t h t h e S E B I C i r c u l a r s S E B I / H O / C F D / C M D 1 / C I R / P / 2 0 2 0 / 7 9 SEBI/HO/CFD/CMD2/CIR/P/2021/11 dated May 12, 2020 and January 15, 2021, and the same are also available on the Company’s website at www.bhartiya.com and stock exchanges’websites www.bseindia.com and www.nseindia.com and on the website of National Securities Depository Limited (“NSDL”) www.evoting.nsdl.com . In compliance with the provisions of Section 108 of the Act read with the Companies (Management and Administration) Rules, 2014, as amended from time to time, Regulation 44 of the SEBI (LODR) Regulations, Secretarial Standard -2 issued by the Institute of Company Secretaries of India and MCA Circulars, the Members are provided with the facility to cast their vote electronically through remote e-voting and e-voting services, provided by NSDLon all resolutions set forth in the Notice of the 34th AGM. The remote e-voting shall commence on Sunday, 26th September, 2021 (09:00 AM) IST and end on Tuesday, 28th September, 2021 (05:00 PM) IST. During this period, Members may cast their vote electronically. Thereafter, the remote e-voting module shall be disabled by the NSDLfor voting. The remote e-voting shall not be allowed beyond the said date and time. The Members who have casted their votes by remote e-voting may also join the AGM through VC/OAVM facility but shall not be entitled to cast their vote again through e-voting facility available during the AGM. Once the Members cast vote on a resolution, the Members shall not be allowed to change it subsequently. Detailed instructions for remote e-voting, joining the AGM and e-voting during the AGM is provided in the Notice of 34th AGM. Mr. Ravi Sharma, partner of RSM & Co., Practicing Company Secretary (Membership No. F 4468) has been appointed as Scrutinizer by the Company to scrutinize the entire e-voting process in a fair and transparent manner. The Company has received consent for such appointment.

The voting rights of Members shall be in proportion to the equity Shares held by them in the paid-up equity Share capital of the Company as on Wednesday, 22nd September, 2021 (“Cut-off date”). A person, whose name is recorded in the Register of Members or in the Register of Beneficial Owners maintained by the Depositories as on the Cut-off date shall only be entitled to join the AGM, avail the remote e-voting and e-voting facility during the AGM. A person who ceases to be a Member as on cut-off date should treat his Notice for information purpose only. Any person, who acquire Shares and become member of the Company after the date of electronic dispatch of the Notice of 34th AGM and holding Shares as on the cut off date, may obtain the Login ID and password by following the instructions as mentioned in the Notice of 34th AGM or sending a request to [email protected] . However, if he/she is already registered with NSDL for e-voting, then he/she can use his/ her existing user ID and password to cast their vote. Further, pursuant to the provisions of Section 91 of the Act and the Rules framed thereunder and Regulation 42 of SEBI (LODR) Regulations, the Register of Members and Share Transfer Books of the Company will remain closed from Thursday, 23rd September, 2021 to Wednesday, 29th September, 2021 (both days inclusive) for the purpose of 34th AGM of the Company. The result of voting will be declared within two working days from the conclusion of the AGM i.e., on or before 1st October, 2021 and results so declared along with the consolidated scrutinizer’s report will be placed on the Company’s website (www.bhartiya.com) and NSDL’s website (www.evoting.nsdl.com) .
