Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

(b) Effective February 15, 2008, Steven A. Abney resigned and ceased to be the principal financial officer and the principal accounting officer of Income Opportunity Realty Investors, Inc. (the “Company” or “IOT” or the “Registrant”). Mr. Abney had no disagreement with the Registrant on any matter relating to the Registrant’s operations, policies or practices. Mr. Abney, who was appointed Executive Vice President and Chief Financial Officer of the Registrant effective December 16, 2005 is departing as he has accepted employment with an unrelated entity.
