On-­sale cleansing notice

Imugene Limited ACN 009 179 551 (ASX: IMU) ( Imugene ) refers to the issue of 372,222,223 ordinary fully paid shares ( Shares ) at an issue price of $0.018 per Share by way of a placement to institutional and sophisticated investors ( Placement ), as outlined in Imugene’s announcements dated 23 November 2017 and 6 December 2017.

Imugene has issued the shares without disclosure to investors under section 708A(5) Corporations Act 2001 (Cth) ( Corporations Act ).

• 3 at the date of this notice, Imugene has complied with:

  • (a) the provisions of chapter 2M Corporations Act as they apply to Imugene;; and

  • (b) section 674 of the Corporations Act;; and

• 4 as at the date of this notice, there is no ‘excluded information’ (within the meaning of sections 708A(7) and 708A(8) Corporations Act) to be disclosed under section 708A(6)(e) Corporations Act.
