According to article 17 of Regulation (EU) No. 596/2014 of the European Parliament and of the Council and to article 248-A of the Portuguese Securities Code, IMPRESA – Sociedade Gestora de Participações Sociais, S.A. ("Impresa"), hereby informs its shareholders and the market in general that:

Further to its announcement on 4 January 2021, by which informed the market of the execution of a promissory purchase and sale agreement committing to sell to Páginas Civilizadas, Lda. 222,000 shares, representing 33.33% of the share capital of Vasp - Distribuidora de Publicações, S.A. ("Vasp"), for the price of EUR 2,100,000 (two million and one hundred thousand euros), informs that Páginas Civilizadas, Lda., Cofina Media, S.A. and Global Notícias Media Group, S.A. have reached an understanding for the transaction to be completed, subject to the completion of an accounting and financial audit by Páginas Civilizadas, Lda. and to the non-opposition to the transaction by the Competition Authority, through the transfer by Impresa:

• (i) to Páginas Civilizadas, Lda. of 111,000 shares, representing 16.665% of the share capital of Vasp, for the price of EUR 1,050,000 (one million and fifty thousand euros); and
• (ii) to Cofina Media, S.A. of 111,000 shares, representing 16.665% of the share capital of Vasp, for the price of EUR 1,050,000 (one million and fifty thousand euros).
