Share Purchase Plan – Notice under ASIC Class Order (CO 09/425)

Imperial Pacific Limited ABN 65 000 144 561 (“the Company”) announced on 15 August 2016 that it proposed making an offer to eligible shareholders to participate in a forthcoming Share Purchase Plan (“SPP”). Included in the offer document dated 15 September and lodged with ASX on 16 September was a commitment that the Plan is established pursuant to Australian Securities and Investments Commission (ASIC) Regulatory Guide 125 and Class Order 09/425. For the purpose of clarification and assurance this detailed notice is provided.

The Company gives notice under paragraph 7(f)(ii) of ASIC Class Order (CO09/425) that:

• i. The Company proposed on 15 September 2016 to make offers to issue shares under a Share Purchase Plan without disclosure to investors under part 6D.2 of the Corporations Act 2001 (the Act); and

• ii. This notice is given in accordance with ASIC Class Order (CO 09/425); and

• iii. As at the date of this notice and prior to the offers being made, the Company has complied with the provisions of Chapter 2M of the Act as they apply to the Company and Section 674 of the Act; and

• iv. As at the date of this notice and prior to the offers being made, there is no excluded information (in accordance with the requirements of subsections 708A (7) and (8) of the Act as if this notice were a notice under paragraph 708A (5)(e) of the Act)..
