Australian Securities Exchange Announcement
IMPEDIMED CONFIRMS SETTLEMENT OF PLACEMENT
ImpediMed Limited ( ImpediMed ) is pleased to confirm settlement of the institutional placement announced to the market on 1 April 2010, and the issue of 15,400,000 ordinary shares at A$0.65 per share to raise approximately A$10 million.
Shares issued under the institutional placement will be eligible to participate in the Entitlement Offer.
Under the Entitlement Offer, eligible shareholders on the record date will be invited to participate on a pro-rata basis to their existing holdings by subscribing for 1 new ImpediMed share for every 8 ImpediMed shares owned, at a price of A$0.65 per share, to raise up to a further A$10.1 million. Eligible shareholders who take up their entitlement in full may apply for additional shares in excess of their entitlement under a top up facility. Allocations under the top up facility will be subject to any shortfall under the Entitlement Offer and will be made at the Company’s absolute discretion.
Shareholders should refer to the offer announcement lodged with the ASX on 1 April 2010. Further information will be available in the Entitlement Offer booklet that will be despatched to eligible shareholders.
Key dates for the Entitlement Offer are set out below. The dates are indicative only and ImpediMed reserves the right to vary them, subject to the Corporations Act 2001 (Cth) and the ASX Listing Rules.
