General Meeting – Notice & Proxy Form

Notice is hereby given that a General Meeting ( Meeting ) of Shareholders of Impact Minerals Limited (ACN 119 062 261) (the Company ) will be held at Bentleys (WA) Pty Ltd, London House Level 3, 216 St. Georges Terrace, Perth, WA 6000 on Thursday, 1 July 2021 at 3.30pm (WST).

The Board has made the decision that it will hold a physical meeting with the appropriate social distancing measures in place to comply with the Federal and State Governments’ current restrictions for physical gatherings.

Further, in accordance with the now ceased Corporations (Coronavirus Economic Response) Determination (No 3) 2020 ( Determination ), Treasury Laws Amendment (2021 Measures (No. 1) Bill 2021 ( Bill ) and ASIC’s “no action” position published on 29 March 2021 supporting (amongst other things) the convening of meetings using electronic notice of meetings as was permitted under the Determination and as proposed under the Bill, the Company will not be dispatching physical copies of the Notice of Meeting ( Notice or NOM ). Instead, a copy of the NOM is available - electronically on the Company’s website at https://www.impactminerals.com.au/site/investor centre/asx-announcements or alternatively on the ASX Market Announcements page at https://www2.asx.com.au/markets/trade-our-cash-market/historical-announcements by searching under the Company’s ASX code “IPT”.

As you have not elected to receive notices by email, a copy of your personalised proxy form is enclosed for your convenience. Shareholders are encouraged to vote online at https://investor.vote.com.au or by returning the attached proxy form by post to Computershare Investor Services Pty Limited, GPO Box 242, Melbourne VIC 3001.

Your proxy voting instruction must be received by 3.30pm (WST) on Tuesday, 29 June 2021, being not less than 48 hours before the commencement of the Meeting. Any proxy voting instructions received after that time will not be valid for the Meeting.

Circumstances relating to COVID-19 are changing rapidly. The Company will update Shareholders if such circumstances will impact planning or the arrangements for the Meeting by way of an announcement on the ASX and the details will also be made available on our website at http://www.impactminerals.com.au.
