IMMOFINANZ AG: Merger between IMMOEAST AG and IMMOFINANZ AG – Exchange ratio to be reviewed

Dissemination of an Ad hoc announcement, transmitted by

The merger between IMMOEAST AG and IMMOFINANZ AG has become effective upon
registration with the Austrian Companies Register on 29th April 2010. The
share exchange with the agreed upon exchange ratio of three
IMMOFINANZ-shares for two IMMOEAST-shares has been effected.
The Austrian Stock Corporation Act provides the right of the former
shareholders of IMMOEAST AG as well as of the shareholders of IMMOFINANZ AG
to claim for a judicial review of the adequacy of the exchange ratio agreed
in the merger agreement under certain legal conditions.
According to the present information available to IMMOFINANZ AG claims for
the review of the exchange ratio were filed by former
IMMOEAST-shareholders. The review proceedings may take several months until
years.
