APPENDIX 3B – SHARE AND OPTION ISSUE ADVICE

I advise that Imdex Limited has recently issued 4,875,000 options to key staff. The options have a five year life and an exercise price of $3.00. They are exercisable one year after the date of issue in onethird lots each year thereafter and lapse if the employee leaves the Company.

The issue of these options is seen as a future incentive to new Group employees and to assist in securing the future involvement and commitment of these key people.

No director has participated in this issue.

The Company has also recently issued 405,334 ordinary shares in Imdex Limited as a result of the exercise of Staff Options.

Also, in accordance with the Staff Option Plan rules, the following staff options have been cancelled due to the resignation of the relevant employees.

  • 15,000 Staff Options with an exercise price of 35 cents per option

  • • 35,000 Staff Options with an exercise price of $1.00 per option

  • 50,000 Staff Options with an exercise price of $1.80 per option

The requisite Appendix 3B advice is attached.

Quotation agreement

  • 1 +Quotation of our additional +securities is in ASX’s absolute discretion. ASX may quote the[+] securities on any conditions it decides.

  • 2 We warrant the following to ASX.

  • The issue of the[+] securities to be quoted complies with the law and is not for an illegal purpose.

  • There is no reason why those[+] securities should not be granted[+] quotation.

  • An offer of the[+] securities for sale within 12 months after their issue will not require disclosure under section 707(3) or section 1012C(6) of the Corporations Act.

Note: An entity may need to obtain appropriate warranties from subscribers for the securities in order to be able to give this warranty
