CORPORATIONS ACT 2001 - SECTION 708A NOTICE

Image Resources NL (the Company ) hereby provides this notice for the purpose of satisfying the requirement in section 708A(5)(e) of the Corporations Act (the Act ) to prepare a disclosure statement in relation to the issue of 5,395,858 fully paid ordinary shares (the Shares ) in the Company without disclosure to investors under Part 6D.2 of the Act.

The Company states that as at the date of this notice:

• 1. the Company has complied with the relevant provisions of Chapter 2M (relating to financial reporting and audit) of the Act as they apply to the Company;
• 1. the Company has complied with section 674 (relating to continuous disclosure) of the Act;
• 1. the Company is not aware of any excluded information within the meaning of sections 708A(7) and 708A(8) of the Act.

An Appendix 3B with respect to the issue of the Shares was lodged with ASX on 19 March 2012.
