STATUTORY NOTICE

Image Resources NL (“Image”) advises that on 28 May 2009 it issued 5,455,108 ordinary shares (“New Shares”) to sophisticated and professional investors.

The New Shares were not issued for the purpose of the persons to whom they were issued, selling or transferring them or granting, issuing or transferring interests in them or options over them.

The New Shares will rank equally in all respects with existing Image shares.

Image has applied for quotation of the New Shares on ASX.

For the purpose of section 708A(5)(e) of the Corporations Act 2001 Cth (the Act ) Image advises that:

• (a) this notice is given within 5 business days after the day on which the New Shares were issued by Image;

• (b) Image issued the New Shares without disclosure to investors under Part 6D.2 of the Act;

• (c) this notice is given under paragraph 5(e) of section 708A of the Act;

• (d) as at the date of this notice, Image has complied with:

  • (i) the provisions of Chapter 2M of the Act as they apply to Image; and

  • (ii) section 674 of the Act; and

• (e) as at the date of this notice, there is no excluded information as defined in paragraph (7) of section 708A of the Act which is required to be disclosed by Image.
