NOTICE UNDER SECTION 708A(5)(e) OF CORPORATIONS ACT

This notice is given by Independence Group NL (ASX: IGO) (“IGO”) under section 708A(5)(e) of the Corporations Act 2001 (Cth) (the “Act”).

IGO advises that 2,073,585 fully paid ordinary shares (“New Shares”) were issued today under the offers made to holders of options and share appreciation rights in Sirius Resources NL (“Sirius”), as described in the Acquisition Scheme Booklet released to the ASX by Sirius on 31 July 2015.

IGO advises that:

• (a) The New Shares were issued without disclosure to investors under Part 6D.2 of the Act.

• (b) As at the date of this notice, IGO has complied with:

  • (1) the provisions of Chapter 2M of the Act as they apply to IGO; and

  • (2) section 674 of the Act.

• (c) As at the date of this notice, there is no excluded information of the type referred to in sections 708A(7) and 708A(8) of the Act that is required to be set out in this notice under section 708A(6)(e) of the Act.
