Sirius Resources NL (ASX:SIR) (“Sirius” or the “Company”) advises that it has lodged with the Australian Securities and Investments Commission ("ASIC") a copy of the orders of the Federal Court of Australia approving the schemes of arrangement between Sirius and its shareholders in relation to the proposal by Independence Group NL to acquire all the shares in Sirius by an acquisition scheme of arrangement between Sirius and its shareholders (“Acquisition Scheme”), and the demerger of the Polar Bear and Scandinavian assets into S2 Resources Ltd ("Demerger Scheme").

As a result, the Acquisition Scheme and the Demerger Scheme are now effective. A copy of the Court orders as lodged with ASIC are attached.

It is expected that Sirius shares will be suspended from quotation on the ASX with effect from the close of normal trading today.

THE COURT ORDERS THAT:

In relation to the Demerger Scheme:

1. Pursuant to section 411(4)(b) of the Corporations Act 2001 (Cth) ( Act ), the demerger scheme of arrangement between the Plaintiff and its members, as set out in Annexure "ACN-47" to the affidavit of Anna Ceridwen Neuling affirmed on 29 July 2015, is approved.

2. Pursuant to section 411(12) of the Act, the Plaintiff be exempted from compliance with section 411(11) of the Act in relation to the demerger scheme of arrangement referred to in order 1.

In relation to the Acquisition Scheme:

1. Pursuant to section 411(4)(b) of the Act, the acquisition scheme of arrangement between the Plaintiff and its members, as set out in Annexure "ACN-50" to the affidavit of Anna Ceridwen Neuling affirmed on 29 July 2015, is approved.

2. Pursuant to section 411(12) of the Act, the Plaintiff be exempted from compliance with section 411(11) of the Act in relation to the acquisition scheme of arrangement referred to in order 3.
