Takeover bid by Independence Group NL for Jabiru Metals Limited Notification of status of defeating conditions

We enclose, by way of service pursuant to section 630(5)(b) of the Corporations Act 2001 (Cth), the notice of the status of the defeating conditions to the offers required by section 630(3) of the Corporations Act 2001 (Cth).

The takeover offers are currently scheduled to close at 5:00pm (Perth, Western Australia time) on 19 April 2011.

Independence Group NL ABN 46 092 786 304 (‘Independence’) Notice of status of defeating conditions

To: Jabiru Metals Limited ABN 51 060 620 751 (‘Jabiru’)

ASX Limited

Independence has made offers under an off-market takeover bid for all the ordinary shares in Jabiru ( Offers ). The Offers are contained in Independence’s bidder’s statement dated 23 February 2011 ( Bidder’s Statement ), notice of variation dated 18 March 2011, first supplementary bidder’s statement dated 22 March 2011, notice of variation dated 1 April 2011 and second supplementary bidder’s statement dated 1 April 2011.

For the purposes of section 630(3) of the Corporations Act 2001 (Cth), Independence gives notice that:

• 1 the condition in section 11.8(l) (Minimum bid price rule) of the Bidder’s Statement has been fulfilled and, accordingly, the Offers are free from that condition (as advised to the market on 28 February 2011);

• 2 it has freed the Offers from each other condition in section 11.8 of the Bidder’s Statement (as advised to the market on 1 April 2011); and

• 3 its voting power in Jabiru as at 5.00pm on 8 April 2011 is 75.81%.
