Notice under section 708A(5)(e) of the Corporations Act

Independence Group NL ABN 46 092 786 304 (Independence) has today issued 357,500 fully paid ordinary shares in connection with the Share Purchase Plan announced to the market on 14 December 2011 (SPP Shares).

Independence gives notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) (Act) that:

• Independence issued the SPP Shares without disclosure to investors under Part $(a)$ 6D.2 of the Act:
• $(b)$ as at the date of this notice, Independence has complied with:
• the provisions of Chapter 2M of the Act as they apply to Independence; and $(1)$
• $(2)$ section 674 of the Act; and
• $(c)$ as at the date of this notice, there is no 'excluded information' within the meaning of sections 708A(7) and 708A(8) of the Act.
