NOTICE

NOTICE is hereby given that the Extra-Ordinary General Meeting (EGM) of the Members of IFCI Limited will be held on Thursday, April 27, 2023, at 11:30 A.M. (IST) at Auditorium, First Floor, IFCI Tower, 61 Nehru Place, New Delhi-110019, through Video Conferencing (VC) / Other Audio-Visual Means (OAVM), to transact the following business:

SPECIAL BUSINESS:

Item No. 1: Issue of equity shares aggregating upto ₹400 crore by way of preferential allotment to Government of India (GOI).

To consider and, if thought fit, to pass, with or without modification(s) the following resolutions as Special Resolution(s):

"RESOLVED THAT pursuant to Sections 42, 62 and other applicable provisions, if any, of the Companies Act, 2013 read with the Companies (Prospectus and Allotment of Securities) Rules, 2014, the Companies (Share Capital and Debentures) Rules, 2014 (including any statutory amendments or re-enactments thereof for the time being in force), the provisions of Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018 (the "ICDR Regulations"), the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015, the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (the "Listing Regulations"), each as amended, and any other applicable laws, tules and regulations and enabling provisions in the Memorandum and Articles of Association of the Company and the equity listing agreements entered into by the Company with BSE Limited ("BSE") and National Stock Exchange of India Limited ('NSE') and subject to necessary approvals / sanctions / permissions of appropriate statutory / regulatory authorities. If applicable, and subject to such conditions as may be prescribed by any of them while granting such approvals / sanctions, and which may be agreed to by the Board of Directors of the Company (hereinafter referred to as the "Board" which term shall be deemed to include any Committee(s), which the Board may have constituted or may constitute to exercise the powers conferred on the Board by this resolution), consent of the Members, be and is hereby accorded to the Board to create, issue and allot 29,36,85,756 (Twenty Nine Crore Thirty Six Lakh Eighty Five Thousand Seven Hundred and Fifty Six) number of equity shares of the Company of the face value of $\bar{\tau}10$ (Rupees Ten) each ("Equity Shares") on preferential allotment basis, at a price of ₹13.62 (Rupees Thirteen and Sixty Two Paisa only) [including a premium, of $\overline{x}3.62$ (Rupees Three and Sixty Two Paisa)] per Equity Share aggregating upto ₹400,00,00,000 (Rupees Four Hundred Crore) to the Government of India.

RESOLVED FURTHER that the equity shares to be issued shall rank part-passu in all respect with the existing equity shares of the Company.

RESOL VED FURTHER that the Board be and is hereby authorised to make the necessary applications and to take all other steps as may be necessary for and in connection with the listing of the equity shares proposed to be allotted to the Government of India on BSE and NSE, and that with the depositories, viz. National Securities Depository Limited ("NSDL") and

Central Depository Services (India) Limited ("CDSL"), and for the credit of such equity shares to the Demat account of the Government of India.

RESOLVED FURTHER that in accordance with the provisions of ICDR Regulations, the "Relevant Date" for the purpose of determination of the price of the Equity Shares to be issued and allotted as above is March 28, 2023, being the date falling 30 (thirty) days prior to the date of this Extra-Ordinary General Meeting being held on April 27, 2023, to approve this issue of equity shares.

RESOLVED FURTHER that for the purpose of giving effect to this resolution, the Board (including any duly constituted Committee thereof), be and is hereby authorized to do all such acts, deeds and things as may be deemed necessary, or incidental thereto, proper or desirable, or to settle any question, difficulty or doubt that may arise in regard to the issue of the aforesaid shares and to finalise or execute all documents and writings as may be necessary, desirable or expedient."

To consider and, it thought it, to pass, with or without modification(s) the following resolutions as Ordinary Resolution(s):

"RESOLVED THAT pursuant to the provisions of Sections 149, 152, 161 and other applicable provisions of the Companies Act, 2013 ("Act"), if any, and Rules made thereunder, Regulation 17 (IC) and other applicable regulations of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations. 2015 and/or any other applicable laws (including any statutory amendment(s), modification(s) or re-enactment(s) thereof, for the time being in force), Article 124 of the Articles of Association of the Company.   • $\mathbf{1}$ Pursuant to the Circular No. 11/2022 dated December 28, 2022, read with Circular No(s). 14/2020 dated April 08, 2020, 17/2020 dated April 13, 2020, 22/2020 dated June 15, 2020, 33/2020 dated September 28, 2020, 39/2020 dated December 31, 2020, 10/2021 dated June 23. $2021$ and $20/2021$ dated December 08, 2021, 03/2022 dated May 05, 2022 issued by the Ministry of Corporate Affairs (MCA) and other applicable circulars issued by the Securities and Exchange Board of India (SEBI), the EGM of the Company shall be conducted through VC/OAVM,
  • In terms of the provisions of Section 108 of the Companies Act, 2013 read with Rule 20 of the D. Companies (Management and Administration) Rules, 2014 (as amended), Regulation 44 of SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015 (SEBI Listing Regulations') (as amended) and MCA Circulars dated December 28, 2022 read with other applicable Circulars issued by MCA in this regard, the Company is providing facility of evoting to its Members in respect of the business to be transacted at the EGM. For this purpose, the Company has entered into an agreement with Central Depository Services (India) Limited (CDSL) for facilitating voting through electronic means, as the authorized e-voting service provider. The facility of casting votes by a member using remote e-voting as well as the evoting system on the date of the EGM ('Venue Voting') will be provided by CDSL.
    1. This Meeting is being convened through electronic means, in accordance with the Circulars issued by the Ministry of Corporate Affairs from time to time. As per the applicable MCA Circular, the facility to appoint proxy to attend and east vote for the members is not available for this EGM. Hence, Proxy form, attendance slip do not form part of this Notice. However, pursuant to the Section(s) 112 and 113 of the Companies Act, 2013, representatives of the members such as the President of India or the Governor of a State or body corporate can attend the EGM through VC/OAVM and cast their votes through e-voting.
  • The Notice calling the EGM has been uploaded on the website of the Company at 4 www.ifciltd.com. The Notice can also be accessed from the websites of the Stock Exchanges i.e. BSE Limited and National Stock Exchange of India Limited at www.bseindia.com and www.nseindia.com respectively. The EGM Notice is also disseminated on the website of CDSL (agency for providing the Remote e-Voting facility and e-voting system during the EGM) i.e. www.evotingindia.com.
  • The Deemed Venue' for the EGM shall be 'Auditorium, First Floor, IFCI Tower, 61 Nehru 5. Place, New Delhi = 110019'
    1. As per the MCA Circular No. 17/2020 dated 13 April 2020, the Notice calling EGM will not be sent in physical form. The EGM Notice will be sent in electronic mode vide e-mail to those Members who have registered their e-mail ID either with the Company or the Registrar & Share Transfer Agent (R&STA) or their respective Depository Participants.
  • $\tau$ Those shareholders who have not registered their e-mail ID are requested to register or update their e-mail ID with their Depositories Participants (in case shares are held in Dematerialized form) /R&STA (in case shares are held in physical form). The R&STA may be contacted at [email protected], [email protected].

  • $\mathbf{R}$ The Members can join the EGM through VC/OAVM, 15 minutes before and after the scheduled time of the commencement of the Meeting by following the procedure mentioned in the EGM Notice. The facility of participation at the EGM through VC/OAVM will be made available for 1000 members on first come first served basis.
    • This will however not include large Shareholders (Shareholders holding 2% or more shareholding), Promoters, Institutional Investors, Directors, Key Managerial Personnel, the Chairpersons of the Audit Committee, Nomination and Remuneration Committee and Stakeholder's Relationship Committee, Auditors, who are allowed to attend the EGM without restriction on account of first come first served basis.
  • The Institutional shareholders are requested and encouraged to attend and vote at the EGM of 9. the Company.
    1. No physical attendance is allowed at the EGM. The attendance of the Members attending the EGM through VC/OAVM shall only be counted for the purpose of reckoning the quorum under Section 103 of the Companies Act, 2013,
    1. The Members will be allowed to pose questions during the course of the Meeting. The queries can also be given in advance at [email protected].
    1. The Explanatory Statement pursuant to the provisions of Section 102 of the Connanies Act. 2013, setting out material facts in respect of the Item No. 1, 2 and 3 is annexed hereto.
    1. All documents referred to in the accompanying EGM Notice and the explanatory statement as well as other documents as required under the provisions of the Companies Act, 2013 are open for inspection through electronic mode on all working days, except Saturdays, Sundays and holidays, between 11:00 am to 01:00 pm upto the date of this EGM.
    1. As per the SEBI requirements, Members holding shares in Demat form are requested to submit PAN details to their depository participants with whom they are maintaining their Demat accounts. Members holding shares in physical form can submit their PAN details to the Company or to R&STA.
    1. In case of joint holders attending the Meeting, only such joint holder whose name is registered as first holder will be entitled to vote through Remole e-voting or e-voting at EGM.
  • $16.$ In accordance with the proviso to Regulation 40(1) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, w.e.f. April 1, 2019, transfer of securities of the company shall not be processed unless the securities are held in the dematerialised form with a depository. Accordingly, shareholders holding equity shares in physical form are requested to have their shares dematerialized.

THE INSTRUCTIONS FOR SHAREHOLDERS FOR REMOTE E-VOTING AND E-VOTING DURING EGM AND JOINING MEETING THROUGH VC/OAVM ARE AS UNDER:

$\left(\mathbf{i}\right)$ The remote e-voting period begins on Monday, April 24, 2023, at 09:00 A.M. (IST) and ends on Wednesday, April 26, 2023, at 05:00 P.M. (IST). During this period shareholders of the Company, holding shares either in physical form or in

Dematerialized form, as on the cut-off date i.e. Thursday, April 20, 2023 may cast their vote electronically. The e-voting module shall be disabled by CDSL for voting thereafter.

  • $(ii)$ Shareholders who have already voted prior to the meeting date would not be entitled to vote at the meeting.
  • In terms of SEBI circular no. SEBI/HO/CFD/CMD/CIR/P/2020/242 dated December 9, $(iii)$ 2020, on e-Voting facility provided by Listed Companies, Individual shareholders holding securities in Demat mode are allowed to vote through their Demat account maintained with Depositories and Depository Participants. Shareholders are advised to update their mobile number and email Id in their Demat accounts in order to access e-Voting facility.

  • (vii) Shareholders holding shares in physical form will then directly reach the Company selection screen. However, shareholders holding shares in Demat form will now reach Password Creation' menu wherein they are required to mandatorily enter their loging password in the new password field. Kindly note that this password is to be also used by the Demat holders for voting for resolutions of any other company on which they are eligible to vote, provided that company opts for e-voting through CDSL platform. It is strongly recommended not to share your password with any other person and take utmost care to keep your password confidential.
  • (yiii) For shareholders holding shares in physical form, the details can be used only for e-voting on the resolutions contained in this Notice.
  • (ix) Click on the EVSN for IFCI.
  • $(x)$ On the voting page, you will see "RESOLUTION DESCRIPTION" and against the same the option "YES/NO" for voting. Select the option YES or NO as desired. The option YES implies that you assent to the Resolution and option NO implies that you dissent to the Resolution.
  • (xi) Click on the 'RESOLUTIONS FILE LINK' if you wish to view the entire Resolution details.
  • (xii) After selecting the resolution, you have decided to vote on, click on "SUBMIT". A confirmation box will be displayed. If you wish to confirm your vote, click on "OK", else to change your vote, click on "CANCEL" and accordingly modify your vote.
  • (xiii) Once you "CONFIRM" your vote on the resolution, you will not be allowed to modify your vote.
  • (xiv) You can also take a print of the votes cast by clicking on "Click here to print" option on the Voting page.
  • (xv) If a Demat account holder has forgotten the login password then Enter the User ID and the image verification code and click on Forgot Password & enter the details as prompted by the system.

(xvi) There is also an optional provision to upload Board Resolution/ Power Of Attorney if any uploaded, which will be made available to scrutinizer for verification.

(xvii) Additional Facility for Non - Individual Shareholders and Custodians - Remote Voting

  • Non-Individual shareholders (i.e. other than Individuals, HUF, NRI etc.) and Custodians are required to log on to www.evotingindia.com and register themselves in the "Corporates" module.
  • A scanned copy of the Registration Form bearing the stamp and sign of the entity should be emailed to [email protected].

In the past few years, IFCI has been receiving the Budgetary Support from Government of India (GOI), Ministry of Finance, Department of Financial Services. For the Financial Year 2022-23 also, IFCI has received a sum of ₹400 crore, towards subscription to the share capital of the Company as per the Budgetary Allocation.

As per the applicable provisions of the Companies Act, 2013, the Company cannot utilise monies raised through private placement unless allotment is made, and the return of allotment is filed with the Registrar of Companies.

The requisite disclosure relating to the proposed preferential issue of equity shares to GOI are as under:

The Nomination & Remuneration Committee of Directors had recommended the appointment of Shri Mukesh Kumar Bansal, as Government Director on the Board of the Company w.e.f. February 02, 2023. The Board on February 02, 2023 had appointed him as Government Director in accordance with the provisions of Companies Act, 2013, SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and the Articles of Association of the Company.

In accordance with proviso to Regulation 17(1C) of SEBI LODR, the company shall ensure that the approval of the shareholders for appointment or re-appointment of a person on the Board is taken at the next General Meeting.

The Company has received a notice in writing under the provisions of Section 160 of the Companies Act, 2013 proposing the candidature of Shri Mukesh Kumar Bansal for Directorship of the Company. The Company has also received necessary disclosures and declaration from Shri Bansal as per provisions of the Companies Act, 2013 and SEBI LODR.

In view of above, it is proposed to obtain approval of shareholders for appointment of Shri Mukesh Kumar Bansal as Government Director on the Board of the Company by passing Ordinary Resolution set out at Item no.2 of this Notice.

He had worked as CEO, Zila Panchayat, North Bastar Kanker and also as Commissioner Municipal Corporation, Bilaspur. He had worked as Collector & District Magistrate in three districts namely Kabirdham, Raigarh and Rainandgaon from 2011 to 2017. He was Special Secretary to Hon'ble Chief Minister Chhattisgarh from 2017 to 2018 and at that time, he also held additional post of CEO, Nava Raipur Development Authority. He had also worked in different departments namely Agriculture, Tribal Development and Rural Industries as Special Secretary.

He had also worked as District Collector of West Godavari and East Godavari districts. He also initiated the Kaushal Godavari Project for 'Skill Development', Under his leadership, 16000 vouth found jobs.

He had also worked as Officer on Special Duty, Telangana Bhawan, New Delhi.

Shri Misra, had worked as Director of Health & Family Welfare, A.P., Vijayawada, where he was given full additional charge of Managing Director and CEO for Andhra Pradesh MedTech Zone (AMTZ).

In view of the directions from MCA, the Meeting is being convened through VC/OAVM and physical presence of the Shareholders are not required at the venue and that the proceedings of the EGM conducted shall be deemed to be made at this venue.
