Registration of changes to the Company's AoA - Cancellation of shares

The Management Board of INVESTMENT FRIENDS CAPITAL SE, with its registered office in Tallinn, hereby announces that on 15.01.2026 the Estonian Commercial Register (Äriregister) in accordance with Estonian law registered amendments to the Company's Articles of Association resulting from the resolutions adopted at the Extraordinary General Meeting of Shareholders on 10.10.2025.

Therefore, the current wording of sections 2.1 and 2.4 of the Company's Articles of Association is as follows:

"2.1. The minimum amount of share capital of the Company is 160 000 (one hundred sixty thousand) euros and the maximum amount of share capital is 640 000 (six hundred forty thousand) euros."

"2.4. The minimum number of the shares of the Company without nominal value is 1 600 000 (one million six hundred thousand) shares and the maximum number of the shares of the Company without nominal value is 6 400 000 (six million four hundred thousand) shares."

The current share capital of Investment Friends Capital SE is EUR 160 000,00 and is divided into 1 600 000 shares.
