Cancellation of Treasury Shares

At the 2012 Extraordinary General Meeting of VNH, changes to the Company's share repurchase programme were adopted to allow the Company to hold shares in treasury.  The Company stated at that time its intention to cancel any ordinary shares of par value $1 each ("Ordinary Shares") that have been held in treasury (the "Treasury Shares") for a period of three years.

Accordingly, the Company announces that on 30 June 2017, it cancelled 697,850 Ordinary Shares, which it held as Treasury Shares.

Following the above cancellation, VNH will have 73,301,667 Ordinary Shares with voting rights in issue (excluding the Treasury Shares) and 9,427,772 Treasury Shares.
