("VNH" or the "Company")

Result of AGM

VNH announces the results of the annual general meeting of the Company held yesterday (the "AGM").

The Board of Directors of the Company has, over the past week, received and considered proposals from representatives of certain shareholders of the Company. To summarise, there was a request that the VNH directors resign and that replacement directors be appointed.

The Board of Directors carefully considered these proposals and decided to retire and not seek re-election.  As a result, resolutions 2, 3 and 4 were not put to the AGM.

Resolutions 1, 5 and 6 were put to shareholders as ordinary resolutions and were duly passed.

Immediately following the AGM, the Company's Board of Directors comprised Milton Lawson and Philip Scales. Separately, the Company has this morning announced the appointment of Hiroshi Funaki as a director of the Company.
