Due to the unexpected unavailability of the Chief Executive Officer and Chief Financial of the Registrant on the due date for the filing, the Registrant was unable to obtain the signatures of such officers on the Form 10-Q for the quarterly period ended October 31, 2022 (the “Form 10-Q”) on a timely basis.

The Registrant expects to file the Form 10-Q within five calendar days from the prescribed due date.
