Completion of merger by absorption of the 100% subsidiary company "IDEAL TECHNOLOGY S.A."
IDEAL Holdings S.A. (hereinafter the "Company") further to its announcement dated 16.05.2025, announces that, the merger by absorption of its 100% subsidiary under the name "IDEAL TECHNOLOGY S.A." has been completed, pursuant to the provisions of Articles 7 to 21 and Articles 30 to 35 of Law 4601/2019 in conjunction with the provisions of L. 5162/2024 and L. 4548/2018, as in force.
The decision under Reg. No. 3805074/02-10-2025 of the General Commercial Registry (G.E.MI), approving the merger by absorption of the 100% subsidiary "IDEAL TECHNOLOGY S.A.", was registered with GEMI on 02.10.2025 under Registration Code Number 5577012.
The merger was completed without an increase in the Company's share capital, as the absorbed company was a 100% subsidiary of the Company.
As the absorbed company was wholly owned, no new shares were issued, and the Company's shareholder structure remains unaffected.
