We wish to inform you that the of the Board of the ideaForge Technology Executive Committee Limited (Company) on November 11, 2025 has approved the allotment of 952 Equity Shares having face value of Rs. 10/- each towards the exercise of vested stock under the ideaForge options Employees Stock Scheme, 2018. These shares shall rank pari-passu with the equity Option existing shares of the Company in all respects.
Post allotment, the paid-up capital of the Company stands increased from Rs. 43,24,96,030/- comprising of 4,32,49,603 equity shares of Rs. 10/- each fully paid-up to Rs. 43,25,05,550/- comprising of 4,32,50,555 equity shares of Rs. 10/- each fully paid – up. The details as required under Part E pursuant to Regulation 10(c) of Securities and Exchange Board of India (Share Based Employee and Sweat Equity) 2021, ("SEBI SBEBSE Benefits Regulations, Annexure - A Regulations") for ESOP 2021 are enclosed herewith as " " respectively.
