הדיווח אודות המשא ומתן על מזכר ההבנות הבלתי מחייב עוכב לאור היות המשא ומתן האמור ראשוני בלבד וכזה אשר הינו לקראת הסכם מקדים ובלתי מחייב.

העיכוב בדיווח הסתיים לאור פרסום מידע בקשר עם קיום המשא ומתן האמור וזאת במסגרת טיוטת תשקיף להשלמה להנפקה ראשונה לציבור של חברת או.פי.סי אנרגיה בע"מ )כפי שפורסם ביום ,13.7.2017 מס' אסמכתא: 2017-01-073128( אשר הינה חברה פרטית שהינה בשליטתו העקיפה של אחד מבעלי השליטה בחברה.

Immediate report – Negotiation for the Purchase of Natural Gas

The Company hereby respectfully reports as follows:

• 1. The Company and Energean Israel Limited (hereinafter: "Energean"), the owner of holdings in the Karish and Tanin gas fields (hereinafter: the "Gas Field"), have conducted negotiations toward forming a non-binding memorandum of understating (hereinafter: the "MOU"), which, after being signed, if and insofar as approved by all authorized entities, shall serve as basis for negotiations between the parties toward the signing of a binding detailed agreement for the supply of natural gas (to the extent signed), under which the Company shall purchase natural gas in quantities and for periods as agreed upon within the framework of such supply agreement, for the purpose of operating the power plant in Sodom and the Company's other facilities in Israel.
• 1. The aforesaid draft MOU includes, inter alia, the following provisions:
  2. a. The total quantity of gas which the Company is expected to purchase from Energean is approx. 13 BCM with respect to the entire expected period of supply (hereinafter: the "Total Contractual Quantity");
  3. b. The supply period shall commence upon the date on which Energean begins operating the Gas Field, and is expected to conclude upon the earliest of (x) the date on which the entire Contractual Quantity is consumed or (y) 15 years from the date of commencement of gas supply to the Company. .
  4. c. A "take or pay" payment mechanism for a minimal annual quantity of natural gas at a scope and according to the mechanism to be determined;
  5. d. The price of natural gas shall be linked to the electric power generation component and include a minimal price.
• 1. It would be noted that negotiations with Energean are being conducted jointly by the Company, Oil Refineries Ltd. (Bazan),¹ and OPC Rotem Ltd.² . The Company's signing of the MOU will require approval by the Company's authorized organs and is also subject to the entry by both of the other purchasers in a separate MOU with Energean. To the best of the Company's knowledge, an MOU has yet to be signed between any of the purchasers and Energean. It would be clarified that, if and to the extent signed, this is a non-binding MOU, and that engagement in an agreement for the supply of gas and the supply of gas by virtue thereof are subject, among other things, to the completion of negotiations, to signing the binding agreement and to the meeting of various milestones and contingency clauses, including also arrangement and supply of natural gas supply for the Company in case the Gas Field is not developed in actuality.
• 1. A binding agreement, if and to the extent signed, will require proper approval by the authorized organs of the Company.
• 1. At this time, there is no certainty as to the Company's engagement in such MOU and\or engagement in a binding agreement or the terms of such binding agreement, insofar as signed.

¹ A public company under the control of the Israel Corporation Ltd., the controlling shareholder of the Company, which is under the (direct and indirect) control of Mr. Idan Ofer.

² A private company under the indirect control of one of the Company's controlling shareholders.

החברה מתכבדת להודיע בזאת כדלהלן:

• .1 החברה ואנרגי'אן ישראל לימיטד )להלן: "אנרג'יאן"(, בעלת החזקות במאגרי הגז כריש ותנין )להלן: "מאגר הגז"(, ניהלו משא ומתן לגיבוש מזכר הבנות בלתי מחייב )להלן: "מזכר ההבנות"( אשר לאחר חתימתו, אם וככל שיאושר בידי כל הגורמים המוסמכים, ועל בסיסו ,ינהלו הצדדים משא ומתן לקראת חתימת הסכם אספקת גז טבעי מפורט ומחייב )ככל שיחתם(, לפיו תרכוש החברה גז טבעי בכמויות ולתקופות אשר יוסכמו במסגרת הסכם אספקה לצורך הפעלת תחנת הכוח בסדום ומפעלי החברה האחרים בישראל.
  • .2 בטיוטת מזכר ההבנות, כאמור, נכללות בין היתר, ההוראות הבאות:
• א. כמות הגז הכוללת אותה צפויה החברה לרכוש מאנרגי'אן הינה כ13- BCM ביחס לכל תקופת האספקה הצפויה )להלן: "הכמות החוזית הכוללת"(;
• ב. תקופת האספקה תחל במועד בו תחל אנרג'יאן להפעיל את מאגר הגז, וצפויה להסתיים במועד בו תיצרך מלוא הכמות החוזית או בחלוף 15 שנים ממועד הזרמת הגז הטבעי לחברה, לפי המוקדם מביניהם;
  • ג. מנגנון תשלום Pay or Take בעבור כמות שנתית מינימלית של גז טבעי בהיקף ובהתאם למנגנון שייקבע;
    • ד. מחיר הגז הטבעי יוצמד לרכיב ייצור חשמל ויכלול מחיר מינימלי.
• .3 יצוין, כי המשא ומתן מול אנרג'יאן נוהל על ידי החברה, בתי זיקוק לנפט בע"מ 4 , ו- או.פי.סי רותם בע"מ ³ )"הרוכשות"(, יחדיו. חתימת החברה על מזכר ההבנות טעונה אישור של האורגנים המוסמכים של החברה וכן היא כפופה להתקשרות של כל אחת משתי הרוכשות האחרות על מזכר הבנות נפרד עם אנרגיאן. למיטב ידיעת החברה, טרם נחתם מזכר הבנות בין מי מהרוכשות לבין אנרג'יאן. יובהר, כי אם וככל שייחתם, מדובר במזכר הבנות לא מחייב, והתקשרות בהסכם לאספקת הגז ואספקת הגז מכוחו בפועל כפופים, בין היתר, להשלמת המשא ומתן, לחתימת ההסכם המחייב ולהתקיימות אבני דרך ותנאים מתלים שונים, ובהם גם הסדרה ואספקה של גז טבעי לחברה במקרה בו לא יפותח בפועל מאגר גז זה.
  • .4 הסכם מחייב, אם וככל שיחתם, יהיה טעון אישור כנדרש על ידי האורגנים המוסמכים של החברה.
• .5 נכון למועד זה, אין וודאות באשר להתקשרות החברה במזכר ההבנות ו/או התקשרות בהסכם מחייב או בדבר תנאי ההסכם המחייב, ככל שיחתם.
